Matching colors from another JPEG ?

I have two photos that I want to use in a document. I love the colors in the first image. The colors in the second image are no where near as nice. Is there some way to create a color pallete using the colors from the first image and then apply them to the colors in the second? Thanks!

When you say color do you mean Hue? Saturation? Luminosity? The relationship between colors on the screen?

Could we see the two images?
